    IMPORTANT DRAFT NOTICE

    This is a founder working draft, not legal advice. Replace every bracketed field and obtain legal review before paid public expansion or any material change in users, data, or features.

    These Terms and Conditions govern your access to and use of the Opaire website, application, beta program, Goodmama features, subscriptions, and related services. Opaire is operated by [Opaire LLC, referred to as “Opaire,” “we,” “us,” or “our.” By creating an account, checking the agreement box, or using Opaire, you agree to these Terms and acknowledge the Privacy Policy.

    1 Eligibility and accounts

    You must be at least 18 years old and legally able to enter into a binding agreement to use Opaire Beta 1. You must provide accurate account information, maintain the confidentiality of your login credentials, and promptly notify us if you suspect unauthorized access. You are responsible for activity conducted through your account.

    Opaire Beta 1 does not include multi-profile or dependent-profile access. These Terms must be updated before those features are made available to testers or customers.

    2 Beta service

    Opaire Beta 1 is a pre-release service provided for testing and evaluation. Features may be incomplete, change without notice, contain errors, or become temporarily unavailable. Beta participation does not guarantee continued access, future features, a particular launch date, or eligibility for any future plan.

    Beta access lasts for the period communicated in the tester invitation or guide. A free beta does not automatically enroll you in a paid subscription. Any paid founding offer requires a separate, affirmative purchase through PayPal or another disclosed payment process.

    3 What Opaire provides

    Opaire helps users document, organize, review, search, share, and recall personal memories and everyday information. Available features may include manual memory entry, scanning, image upload, tags, categories, search, memory cards, public share links, and Goodmama-generated responses.

    4 User content

    You retain ownership of the content you submit to Opaire. You grant Opaire a limited, nonexclusive license to host, store, reproduce, process, transmit, display, and technically modify that content only as reasonably necessary to operate, secure, support, and improve the service, comply with your instructions, and meet legal obligations.

    You represent that you have the right to submit the content and that doing so does not violate another person’s rights, confidentiality obligations, or applicable law. You are responsible for deciding what information to store or share.

    5 Acceptable use

    You may not:

    • Use Opaire for unlawful, fraudulent, abusive, harassing, exploitative, or harmful activity.
    • Attempt to access another user’s account, memories, images, prompts, responses, or nonpublic systems.
    • Probe, bypass, disable, or interfere with authentication, access controls, rate limits, storage protections, or security features.
    • Upload malware, destructive code, unlawful content, or material you do not have the right to use.
    • Use automated means to scrape, overload, copy, or extract Opaire or other users’ information without written permission.
    • Submit Social Security numbers, passwords for other services, financial-account credentials, full medical records, real patient or client data, or other information prohibited by the beta guide.
    • Use Goodmama as a substitute for qualified professional advice or emergency services.

    6 Goodmama limitations

    Goodmama uses automated systems to generate responses. Responses may be inaccurate, incomplete, outdated, or inappropriate for your circumstances. You must independently evaluate important information. Goodmama does not provide medical, legal, financial, mental-health, safety, or other professional advice, and Opaire is not an emergency service.

    7 Sharing and privacy

    You may choose to create an unlisted public link for a memory. Anyone with the link may view, save, copy, or forward the information displayed. Current share links do not automatically expire.

    You are responsible for confirming the displayed fields before sharing and for using Stop sharing when access should end. Opaire’s collection and handling of personal information is described in the Privacy Policy.

    8 Founding subscriptions payments cancellation and refunds

    Founding subscriptions are optional and separate from the free beta. The plan name, price, billing frequency, trial or promotional terms if any, and renewal terms will be displayed before purchase. By purchasing a recurring subscription, you authorize PayPal to charge the selected payment method at the disclosed frequency until cancellation.

    You may cancel through PayPal’s subscription controls or by contacting opaire@proton.me. Cancellation stops future renewal charges but does not automatically refund a completed charge.

    Refund requests must be submitted within three calendar days after the applicable charge. After that three-day period, founding subscription charges are nonrefundable except where applicable law requires otherwise. Approved refunds will be returned through the original payment method when practicable. Cancelling after the three-day refund period prevents future renewal but does not create a refund for the current billing period.

    Founding Plan Billing and Refunds

    Opaire’s Founding Plan is billed as a recurring subscription through PayPal. Your subscription will automatically renew at the applicable billing frequency unless canceled before the next renewal date. Paid access begins when you purchase the Founding Plan following the beta period.

    You may request a full refund within 3 days of your initial purchase. After the 3-day refund period, payments are non-refundable. To request a refund, contact opaire@proton.me within 3 days of purchase. Canceling your subscription prevents future renewal charges but does not refund charges already paid outside the refund period.

    Founding Plan price: $49/month
    Billing frequency: $379/annually for the 1st year.

    9 Opaire intellectual property

    Opaire and its software, branding, visual design, text, workflows, interfaces, and other service materials, excluding user content, are owned by Opaire or its licensors and are protected by applicable intellectual-property laws. We grant you a limited, personal, nonexclusive, nontransferable, revocable right to use the service in accordance with these Terms.

    10 Suspension and termination

    You may stop using Opaire at any time and may request account deletion through available controls or by contacting us. We may restrict, suspend, or terminate access when reasonably necessary to address a violation of these Terms, nonpayment, fraud, unlawful conduct, a security or privacy risk, harm to users or the service, or legal requirements. When practical, we will provide notice and an opportunity to correct the issue unless immediate action is reasonably necessary.

    Termination does not eliminate provisions that by their nature should continue, including ownership, payment obligations already incurred, warranty disclaimers, limitations of liability, and dispute terms. Data handling after termination is described in the Privacy Policy.

    11 Service changes and availability

    We may add, remove, modify, pause, or discontinue features. We do not guarantee uninterrupted, error-free, or permanent availability. You should maintain your own copy of information you cannot afford to lose. Opaire is not a backup, archival, medical-record, or emergency-response service.

    12 Disclaimer of warranties

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPAIRE AND THE BETA SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” OPAIRE DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, SECURE, UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR EVERY PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THIS SECTION MAY NOT APPLY TO YOU.

    13 Limitation of liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPAIRE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE SERVICE. OPAIRE’S TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID OPAIRE DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR 100 U.S. DOLLARS. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW.

    14 Governing law and disputes

    These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Before filing a lawsuit, you and Opaire agree to attempt in good faith to resolve the dispute by written notice sent to the contact information below. If the dispute is not resolved, it may be brought in a court with lawful jurisdiction in Orange, Florida. This draft does not include a mandatory arbitration clause or class-action waiver.

    15 Changes to these Terms

    We may update these Terms as Opaire changes. We will post the updated version with a new effective date and provide additional notice when required. If required by law or appropriate for a material change, we will request renewed acceptance.

    16 General terms

    If a provision of these Terms is found unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our written permission. We may transfer these Terms as part of a merger, financing, reorganization, acquisition, sale of assets, or similar transaction, subject to applicable law.
